A well-established and growing international law firm is looking for an experienced legal professional to join our team providing outsourced General Counsel services to a wide-ranging client base. You’ll have gained 5 years or more of experience across employment, commercial, and legal risk matters (preferably also having gained experience working in-house).

The Role: 

Our team provides outsourced general counsel services, supporting companies in their day-to-day legal needs, including commercial contracts, employment law, and legal risk matters.  You will work with clients from a variety of sectors, including digital marketing, tech, creative, pharma, publishers and FinTech, giving you a wider range of commercial and employment experience. The role requires someone with 5 or more years’ experience as you will lead client engagements and be autonomous on several of the Firm’s engagements. You will have a commitment to excellent client delivery and will be flexible in your approach to providing fractional, outsourced general counsel, services. We are happy to discuss part-time, job share, or hourly arrangements for this opportunity.

 

Responsibilities:  

As a legal professional providing fractional employment and/or commercial law services to clients. Duties will include (but as not limited to):

  • Employment Law: Provide legal and strategic business advice on sensitive employment and compliance issues, including, recruiting, and onboarding; employee relations, performance management and investigations; terminations; leaves of absence; works council; compensation and benefits; and other employment-related matters
  • You will develop, maintain, review, and implement HR/employment law policies, templates, playbooks, best practices, and training for clients
  • Reviewing, drafting, and negotiating a variety of commercial agreements (MSAs, template development, advisory services, negotiation of indemnities)
  • Compensation/Equity: Drafting compensation and equity programs and agreements for: stock option plans, RSUs, profits interest plans, phantom stock plans, ESOPs, commission plans, incentive compensation plans, bonus plans, and retention agreements
  • Commercial Contracts: Drafting and negotiating complex commercial agreements with both customers and suppliers such as master services agreements, SOWs, licensing agreements, affiliate agreements, development agreements, marketing agreements, SAAS, and data protection agreements
  • Other general counsel services such as risk advice, corporate governance, commercial insurance program reviews, drafting of terms of service, disclosures and privacy policies, etc.
  • You’ll be working with senior business leaders and HR teams from sectors including: AdTech; creative and digital agencies; FinTech; EdTech; SaaS; Web Developers; and Pharma

Qualifications and Attributes: 

  • Minimum of 5 years of experience with employment law or commercial agreement drafting
  • Prior legal experience in-house and/or in law firm servicing mid-market, growth focused SME businesses (with an employment or commercially law focus)
  • Possess a self-motivated and proactive approach to managing client relationships. Ensures a deep understanding of clients, their objectives and ensures they provide commercially driven legal outcomes
  • Knowledge of privacy laws and data protection (CCPA &GDPR) a plus
  • JD required
  • Candidates must be admitted to a US bar (NY and CA states preferred)
